Toolie Terms of Service.

These terms cover your use of Toolie. Please read them before you sign up. By creating an account or using Toolie, you agree to them on behalf of yourself and the business you represent. You can find Toolie at toolie.app and log in at login.toolie.app.

1. About us

Toolie is provided by STRUTH LTD, a company registered in England and Wales (company number 17085039). Our registered office is 49 Jamaica Street, Liverpool, England, L1 0AH. In these terms, “we”, “us” and “our” mean STRUTH LTD. “You” means the business that holds the Toolie account and anyone who uses it on that business’s behalf.

2. What Toolie is

Toolie is an all-in-one platform for small businesses. It brings together your contacts (CRM), a shared inbox for email, SMS, WhatsApp, Facebook and Instagram messages, automations, bookings, forms, payments and related tools. The features available to you depend on your plan.

Toolie is for business use only. You confirm you’re using it for your trade, business or profession and not as a consumer.

3. Your account

You must be at least 18 and authorised to accept these terms for your business.

The information you give us when signing up must be accurate and kept up to date.

You’re responsible for keeping logins secure and for everything that happens under your account, including activity by team members you add.

Tell us straight away at team@struth.uk if you think your account has been accessed without permission.

4. Plans, fees and payment

Toolie is billed monthly in advance. Toolie costs £69 per month and Toolie Unlimited costs £99 per month. Prices shown on our website or in your order are the ones that apply.

There’s no free trial. Your first monthly payment is taken when you sign up.

Payments are taken by card through Stripe. You authorise us to take recurring payments until you cancel.

Some features are charged by usage on top of your plan. These include SMS, WhatsApp conversation fees, email sending above plan limits, phone numbers and AI features. Usage is charged at the rates shown in your account and may be taken from a prepaid wallet balance.

Prices exclude VAT where applicable.

We may change our prices. We’ll give you at least 30 days’ notice by email before a change affects you, so you can cancel first if you wish.

If a payment fails, we’ll let you know and try again. If it’s still unpaid after 14 days, we may suspend your account until it’s settled.

5. Cancelling

You can cancel at any time from your account settings or by emailing team@struth.uk.

Cancellation takes effect at the end of your current billing month. You keep access until then.

Fees already paid aren’t refundable, including for part months or unused usage credits, unless the law requires otherwise.

Before your account closes, please export any data you want to keep. See section 12 for what happens to your data afterwards.

6. Using Toolie responsibly

You must not use Toolie to:

  • break any law or regulation, or anyone else’s rights
  • send spam or marketing to people who haven’t agreed to receive it, where consent is required
  • send anything misleading, abusive, hateful, threatening or illegal
  • upload malware, or try to hack, overload or reverse-engineer the platform
  • resell or share access to Toolie without our written agreement
  • collect or store sensitive data (for example health or financial account details) unless you have a lawful reason and appropriate safeguards

We may remove content or suspend accounts that break these rules (see section 11).

7. Messaging rules

You’re responsible for every message sent from your account, including automated ones. In particular:

Marketing consent. UK law (PECR and UK GDPR) generally requires consent before sending marketing by email or text to individuals. You must only message people you have a lawful basis to contact. Every marketing message must include a simple way to opt out, and you must respect opt-outs promptly.

WhatsApp, Facebook and Instagram. These channels are run by Meta. You must follow Meta’s policies, including the WhatsApp Business Messaging Policy and template rules. Meta may restrict or close your messaging access, and we can’t override its decisions.

SMS and phone numbers. You must follow carrier rules and any registration requirements for sender IDs and numbers.

Email. You must use a domain you own or are authorised to use, and keep bounce and complaint rates low. We may pause sending if your account damages deliverability for other users.

8. Your data and your contacts

You own the data you put into Toolie, including your contacts, conversations, files and content (“Your Data”).

You give us permission to host, process and display Your Data only as needed to provide and support Toolie.

For personal data about your contacts, you are the controller and we are your processor. Our Data Processing Agreement (toolie.app/dpa) forms part of these terms and explains how we handle that data.

You’re responsible for having a lawful basis to collect and use your contacts’ data, and for telling them how you use it (for example in your own privacy policy).

We may use anonymised, aggregated information about how Toolie is used to improve the service. This never identifies you or your contacts.

9. Third-party services

Toolie is built on a white-label platform provided by a third-party technology partner. It also connects to services such as Meta, Google, Stripe, email and SMS providers. Your use of those services is also subject to their own terms. We’re not responsible for their availability, changes or decisions, but we’ll help where we can if something goes wrong.

10. Our platform and intellectual property

Toolie, including its software, design, templates and branding, belongs to us or our licensors. We give you a non-exclusive, non-transferable right to use it during your subscription, for your own business. Nothing in these terms transfers ownership of Toolie to you.

If you send us feedback or ideas, we can use them freely to improve Toolie.

11. Availability, support and changes

We work hard to keep Toolie running smoothly, but we can’t promise it will always be available or error-free. Planned maintenance, outages at our providers and things outside our control can cause interruptions.

Support is available by email at team@struth.uk, Monday to Friday, 9am to 5pm UK time (excluding bank holidays).

We regularly improve Toolie and may add, change or remove features. If a change significantly reduces what your plan includes, we’ll tell you in advance.

We may suspend or close your account, with notice where reasonable, if you break these terms, don’t pay, or your use creates legal, security or deliverability risk for us or other users.

12. Ending your account and your data

When your account closes, you can no longer access Toolie. We’ll keep Your Data for 30 days so you can ask for an export, then delete it, unless the law requires us to keep it longer. Backups are overwritten in their normal cycle.

13. Our liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can’t be limited by law.

We’re not liable for loss of profit, revenue, business, goodwill, data or anticipated savings, or for any indirect loss.

We’re not liable for losses caused by third-party services (such as Meta suspending a WhatsApp number), or by messages you send or content you upload.

Otherwise, our total liability to you in any 12-month period is limited to the fees you paid us in that period.

You’re responsible for keeping your own copies of important data.

14. Your responsibility to us

If someone brings a claim against us because of how you used Toolie, the messages you sent or the data you uploaded, you agree to cover our reasonable losses and costs from that claim.

15. Changes to these terms

We may update these terms from time to time. We’ll email you about important changes at least 30 days before they take effect. If you keep using Toolie after that, the new terms apply.

16. General

These terms, together with our Privacy Policy and Data Processing Agreement, are the whole agreement between us about Toolie.

If any part of these terms can’t be enforced, the rest still applies.

We won’t be liable for delays or failures caused by events outside our reasonable control.

You may not transfer your account without our agreement. We may transfer our rights to another business if Toolie is sold or reorganised, and we’ll tell you if that happens.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
